Marketplace Disclaimer

Florida Off Market is a neutral marketplace. We are not a brokerage, not an agency, and we do not verify, endorse, or guarantee any property listings or deals posted on this platform. All users must perform their own due diligence before entering into any transaction.

Wholesalers: You may only submit properties in which you hold equitable interest (for example, as the contract holder or otherwise having legal authority to market the property). Submitting JV deals, daisy-chained properties, or listings without equitable interest is strictly prohibited. Violations may result in removal of the listing, account suspension, or termination.

Buyers: Buyer membership is currently free during our launch period. Buyers must conduct their own due diligence before purchasing any property. Florida Off Market may introduce premium or paid buyer tiers in the future.

1) Acceptance of Terms

By accessing or using the Site, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site. These Terms apply to all visitors, users, and others who access or use the Service.

2) Definitions

For the purposes of these Terms:

  • Account means a unique account created by you to access the Service.
  • Content means text, images, or other material you upload, post, or otherwise make available through the Service.
  • Service means the Site, listings, and marketplace operated by Florida Off Market.
  • User means any individual or entity accessing or using the Service.

3) Marketplace Role (We Are Not Your Broker)

Florida Off Market is a listing and marketing platform for wholesale real estate opportunities. We do not represent buyers, sellers, or wholesalers; we do not provide brokerage, legal, tax, or financial services; and we are not a party to any transaction between users.

4) Eligibility & Age Restrictions

You must be at least 18 years old and capable of entering into binding contracts. By using the Service, you represent and warrant that you meet this requirement.
Our Service is not directed to individuals under 18, and we do not knowingly collect information from minors.

5) Accounts & Accuracy

If you create an account or submit a form, you agree to provide accurate and up-to-date information. You are responsible for all activity under your account and for safeguarding your login credentials.

6) User Content & Listings

You are solely responsible for content you submit (including property details, photos, prices, and claims). By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute it in connection with the Service.
You warrant that you have the rights to publish such content and that it is truthful and not misleading. We may moderate, remove, or refuse content that violates these Terms or applicable law.

7) Prohibited Conduct

You agree not to:

  • Post false, misleading, defamatory, or infringing content.
  • Engage in spam, scraping, unauthorized data collection, or attempts to bypass security.
  • Circumvent fees, interfere with other users, or engage in "daisy chains" that misrepresent equitable interest.
  • Upload viruses, malware, or use the Site for unlawful purposes.

8) Communications Consent

By submitting your information, you consent to be contacted about marketplace updates, listings, and related offers via email, SMS, ringless voicemail, AI voice, and automated voice systems. Message/data rates may apply. You may opt out by following unsubscribe links or contacting us.

9) Third-Party Tools & Services

We may use or link to third-party services (e.g., CRM, email/SMS providers, payment processors). Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party acts or omissions.

10) Fees & Payments

Any fees will be disclosed prior to purchase and are non-refundable unless stated otherwise. You authorize us and our processors to charge the payment method you provide.

11) No Professional Advice; Independent Verification

All information on the Site is provided by third parties or for general information only. We do not verify listings. You must conduct your own due diligence, seek independent professional advice, and comply with all applicable laws (including anti-wholesaling or licensing rules, as applicable).

12) Intellectual Property

The Site and its original content, features, and functionality are owned by Florida Off Market and protected by applicable IP laws.
You receive a limited, revocable, non-transferable license to access and use the Site for its intended purpose.

13) Privacy

Your use of the Site is also governed by our Privacy Policy. By using the Service, you consent to our data practices described there.

14) Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY LISTING OR USER CONTENT.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY TRANSACTION BETWEEN USERS.

16) Indemnification

You agree to defend, indemnify, and hold harmless Florida Off Market and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

17) Termination

We may suspend or terminate access to the Site at any time, with or without notice, for any reason. Provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitations of liability, indemnification) will survive termination.

18) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflicts of law principles.
Venue and exclusive jurisdiction lie in the state and federal courts located in Broward County, Florida.
You waive the right to participate in class actions and agree to bring claims in an individual capacity only.

19) Severability & Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

20) International Compliance

Users outside the United States are responsible for ensuring their use of the Service complies with applicable local laws.

21) Changes to Terms

We may update these Terms from time to time. The "Effective Date" above reflects the latest version. Continued use of the Service after changes constitutes acceptance.
